Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you ("you," "your," or "Merchant") and Advient ("Advient," "we," "our," or "us") governing your access to and use of the Advient ad creative generation platform, available as a Shopify application and at www.advient.io (collectively, the "Service").

By installing the Advient app or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not install or use the Service.

Notice required by our platform partner: Advient is solely responsible for the Service and its operation. The platform through which you install this app is not liable for any fault in the Service or any harm resulting from its installation or use, and cannot provide installation or usage support. Advient is solely responsible for any liability arising from your access to or use of the Service.

1. Eligibility and Account Registration

To use the Service, you must: (a) be at least 18 years of age; (b) be a registered merchant on the platform through which you install the app, or an authorised representative of a business; (c) have the legal authority to enter into these Terms on behalf of yourself or your organisation; and (d) provide accurate, current, and complete registration information.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at contact@advient.io if you suspect unauthorised access.

2. Description of the Service

Advient is a self-serve AI-powered ad creative generation platform that enables individual marketers and online merchants to:

  • Generate ad creatives — including images, copy, and creative combinations — using AI, informed by your brand assets, product catalogue, and creative briefs
  • Connect to and publish creatives directly to third-party advertising platforms you authorise
  • Access performance data and creative management tools within the platform

The Service is provided on a subscription basis. Features available to you depend on your chosen plan.

3. Platform and Third-Party Integrations

3.1 E-commerce Platform Integration

The Service integrates with your e-commerce store via a platform API. By installing the app, you grant us access to the store data scopes necessary to provide the Service, which may include store details, product catalogue, and branding information. We access only the minimum data required.

You acknowledge that your use of the e-commerce platform remains subject to that platform's own terms and policies, and that the platform has no obligations to you in respect of the Service. We comply with all applicable developer and API terms of our platform partner, including mandatory data compliance requirements and restrictions on using merchant and customer data for AI training without explicit written consent.

3.2 Advertising Platform Integrations

If you choose to connect third-party advertising accounts to the Service, you authorise Advient to access those accounts to the extent necessary to generate and publish creatives on your behalf, and to retrieve performance data for display within the Service. We access only the minimum permissions required for the features you enable.

Our use of data from connected advertising platforms complies with those platforms' applicable developer and data use policies. Full details are set out in our Privacy Policy.

3.3 Your Responsibilities for Connected Platforms

You remain solely responsible for:

  • Ensuring all creatives published through the Service comply with the advertising policies of every platform to which they are published
  • Applying any required disclosures for AI-generated content on the platforms to which you publish — see our Acceptable Use Policy below at point 5.
  • Maintaining the accuracy of your connected account credentials and notifying us if access is revoked
  • Any charges, penalties, or account actions taken by any connected platform in relation to creatives published through the Service

4. Subscription Plans and Billing

The Service is offered on a subscription basis.

4.1 Billing

Subscriptions are billed in advance on a monthly or annual basis through our platform partner's billing system (Shopify billing). By subscribing, you authorise Shopify to charge your payment method on a recurring basis.

4.2 Price Changes

We will provide at least 30 days' advance written notice of any price increase before it takes effect. Continued use of the Service after the effective date constitutes acceptance of the new price.

4.3 Free Trials

If we offer a free trial, your subscription will automatically convert to a paid plan at the end of the trial period unless you cancel beforehand. We will notify you before the trial expires.

4.4 Refunds

All subscription fees are non-refundable except where required by applicable law. If you cancel, you retain access until the end of your current billing period.

4.5 Cancellation

You may cancel at any time by uninstalling the app from your store admin or by contacting contact@advient.io. Cancellation takes effect at the end of the current billing period.

5. Acceptable Use

Acceptable Use Policy ("AUP") governs what you may and may not do with the Advient AI ad creative generation platform ("Service"). It applies to all users and is incorporated by reference into the Advient Terms of Service. Capitalised terms not defined here have the meanings given in the Terms of Service.

Advient generates ad creatives using AI and enables you to publish them to connected advertising platforms. Because those creatives are seen by consumers and subject to the policies of third-party platforms, responsible and lawful use is essential — both to protect you and to protect the people who see your ads.

5.1 Permitted Uses

You may use the Service to:

  • Generate AI-powered ad creatives for products and services you legitimately sell or promote through your store
  • Connect your authorised advertising accounts to publish creatives on your behalf
  • Upload your own brand assets — logos, product images, copy — to inform creative generation
  • Access performance data from connected advertising accounts within the Service dashboard
  • Use the Service for internal business purposes consistent with the Terms of Service

5.2 Prohibited Content

You must not use the Service to generate, publish, or distribute ad creatives that:

5.2.1 Are False or Deceptive

  • Contain false or unsubstantiated product claims
  • Include fabricated testimonials, reviews, or endorsements
  • Use imagery in a misleading way, such as deceptive before-and-after depictions
  • Impersonate brands, individuals, or organisations you are not authorised to represent
  • Depict real, identifiable individuals — including public figures — without their verified consent

5.2.2 Violate Platform Advertising Policies

You must ensure all creatives comply with the advertising policies of every platform to which you publish. Links to the policies of our main platform integrations are available at advient.io.

Advient does not pre-screen creatives for compliance with platform advertising policies before publishing. You are solely responsible for ensuring your ads meet each platform's requirements.

5.2.3 Involve Restricted or Prohibited Categories

Without appropriate platform approvals, regulatory compliance, and legal review, you must not use the Service to advertise:

  • High-risk financial products such as certain investment instruments or short-term lending
  • Pharmaceutical products or health claims that require regulatory authorisation
  • Alcohol, tobacco, or adult products, except in strict compliance with applicable age-gating and platform requirements
  • Gambling or betting services
  • Weapons or related accessories
  • Products or services that are illegal in the target jurisdiction

5.2.4 Involve Political or Electoral Content

You must not use the Service to generate or publish political advertising — including ads about social issues, elections, or political candidates — without: (a) independent legal review of applicable disclosure laws in your jurisdiction; (b) compliance with the authorisation requirements of each platform to which you publish; and (c) applying all required AI-generated content disclosures.

5.2.5 Infringe Intellectual Property

  • Do not upload or use brand assets, images, or copy that you do not own or have a licence to use
  • Do not instruct the AI to generate content that copies or is substantially similar to a third party's copyrighted creative work
  • Do not use the Service to generate content that mimics the likeness, voice, or recognisable style of a real person without their consent

5.2.6 Harm or Exploit Individuals

  • Do not generate content that is discriminatory on the basis of race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics
  • Do not use the Service to create content designed to harass, intimidate, or harm any individual
  • Do not generate content that sexualises or exploits minors in any way

5.3 AI Content Disclosure Obligations

Because Advient generates creatives using AI, you have disclosure obligations when publishing those creatives to third-party platforms. These obligations are yours as the advertiser — Advient is a third-party tool, and platform-level auto-labelling generally applies only to content created with each platform's own AI tools.

5.3.1 General Obligation

You are responsible for applying any disclosure, label, or notice required by the advertising platform to which you publish, indicating that a creative was generated or materially edited using AI. Requirements vary by platform and evolve frequently. Advient will provide in-product guidance on known requirements, but this does not constitute legal advice.

5.3.2 Photorealistic AI Depictions of People

Creatives featuring photorealistic depictions of people who do not exist are subject to the strictest disclosure standards on most advertising platforms. Advient will flag within the Service interface when a generated creative contains such imagery, and you must ensure the appropriate disclosure is applied before publishing.

5.3.3 Political and Social Issue Ads

If you publish ads related to social issues, elections, or political candidates, AI-generated content disclosure is mandatory on virtually all major advertising platforms, and additional platform-specific authorisation processes may apply. Do not use the Service for this purpose without independent legal and platform compliance review.

5.3.4 Staying Informed

AI disclosure requirements are evolving rapidly across jurisdictions and platforms. You are responsible for staying informed of the requirements applicable to your markets and ensuring ongoing compliance.

5.4 Connected Account Conduct

When using the Service to connect to and publish through third-party advertising accounts:

  • You must be the authorised owner of, or have explicit written permission to operate, any account connected to the Service
  • You must not use the Service to circumvent platform policies, account bans, or spending limits
  • You must not engage in coordinated inauthentic behaviour, including creating or promoting fake accounts or artificially amplifying content
  • You must not attempt to misuse data accessed from connected accounts beyond the purposes described in the Terms of Service

5.5 Use of the Service Itself

In your use of the Advient platform, you must not:

  • Attempt to access the Service by any means other than the interfaces provided
  • Use automated tools, bots, or scripts to access the Service in ways not permitted by these Terms
  • Attempt to reverse-engineer, decompile, or extract source code from the Service
  • Probe, scan, or test the vulnerability of the Service or any related systems
  • Introduce malware, viruses, or other malicious code
  • Use the Service in a way that could disable, overburden, or impair its infrastructure
  • Share account access with unauthorised third parties or resell access to the Service

5.6 Data Responsibilities

When using the Service, you are responsible for:

  • Ensuring you have a lawful basis to upload and process any personal data included in brand assets or creative inputs
  • Not uploading personal data of your customers or buyers into the creative generation workflow unless strictly necessary and lawful
  • Complying with applicable data protection laws in relation to any data you bring into the Service
  • Ensuring your own privacy disclosures are consistent with how you use Advient-generated creatives

5.7 Enforcement

Advient monitors use of the Service for policy compliance and reserves the right to:

  • Issue a warning and require remediation
  • Temporarily suspend your access to the Service
  • Permanently terminate your account without refund
  • Report illegal conduct to relevant authorities

We will generally provide notice and an opportunity to remedy a violation before taking action, unless the violation is severe — such as illegal content, fraud, or conduct causing imminent harm — in which case immediate action may be taken.

You may appeal a suspension or termination by contacting contact@advient.io within 14 days of the action.

5.8 Reporting Violations

If you become aware of any use of the Service that violates this policy, please report it to contact@advient.io. We take all reports seriously and will investigate promptly.

6. Intellectual Property

6.1 Your Content and Outputs

You retain ownership of: (a) all brand assets, creative briefs, and other inputs you provide to the Service ("Your Content"); and (b) the ad creative outputs generated by the Service using Your Content ("Outputs"), subject to these Terms.

By using the Service, you grant Advient a limited, non-exclusive, royalty-free licence to use Your Content solely to provide and improve the Service as described in our Privacy Policy. We will not use Your Content or Outputs to train shared AI models accessible to other users without your explicit consent.

6.2 Advient's Intellectual Property

Advient retains all rights, title, and interest in and to the Service, including its underlying AI models, software, algorithms, interfaces, and documentation. These Terms grant you only a limited licence to use the Service and do not transfer any ownership of our intellectual property.

6.3 Feedback

If you provide feedback or suggestions about the Service, you grant Advient a perpetual, irrevocable, royalty-free licence to use and incorporate that feedback without restriction or compensation.

7. AI-Generated Content — Representations and Warranties

You represent and warrant that:

  • You have all necessary rights to the brand assets, product images, and other content you upload
  • You will review all AI-generated creatives before publishing and ensure they are accurate, lawful, and compliant with applicable platform policies
  • You will apply any required disclosures for AI-generated content on the platforms to which you publish
  • You will not use Outputs to make false product claims, fabricate testimonials, or deceive consumers

Advient does not review your Outputs for compliance with platform advertising policies prior to publishing. You are solely responsible for the content of creatives published through the Service.

8. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy, incorporated into these Terms by reference.

For users subject to the GDPR or UK GDPR, our Data Processing Agreement (DPA), as set out in or incorporated within our Privacy Policy at www.advient.io/privacy-policy governs the processing of personal data on your behalf and is incorporated into these Terms where applicable.

We comply with all mandatory data compliance obligations of our platform partner, including responding to customer data requests, customer redaction requests, and store redaction requests within 30 days.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ADVIENT DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AS WELL AS ANY WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE, SUITABLE, OR APPROVED BY ANY ADVERTISING PLATFORM.

AI-generated content may occasionally produce outputs that are inaccurate, unexpected, or unsuitable. You are responsible for reviewing all Outputs before use.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ADVIENT'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU IN THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) €100.

IN NO EVENT SHALL ADVIENT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Nothing in these Terms excludes or limits liability that cannot be excluded by law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

11. Indemnification

You agree to indemnify, defend, and hold harmless Advient and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: your use of the Service or breach of these Terms; Your Content or Outputs, including any claim that they infringe third-party rights; your violation of any advertising platform's policies; or any claim by a third party arising from creatives you publish using the Service.

12. Term and Termination

12.1 Termination by You

You may terminate these Terms at any time by uninstalling the app. Termination does not entitle you to a refund of prepaid fees except where required by law.

12.2 Termination by Advient

Advient may suspend or terminate your access immediately if: (a) you breach these Terms and fail to remedy the breach within 7 days of notice; (b) you engage in conduct that is fraudulent, harmful, or illegal; (c) required by applicable law or a platform partner; or (d) we discontinue the Service.

12.3 Effect of Termination

Upon termination, your licence to use the Service ceases. We will process applicable platform data redaction requests within 30 days. Provisions that by their nature should survive termination — including Sections 6, 9, 10, 11, and 14 — shall continue to apply.

13. Changes to the Service and Terms

We may modify the Service and these Terms at any time. For material changes, we will provide at least 30 days' prior written notice by email or in-app notification. For price changes, at least 30 days' notice as set out in Section 4.2. Continued use after the effective date constitutes acceptance.

14. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which Advient is incorporated, without regard to conflict of law principles. Disputes shall first be subject to good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to the competent courts of the applicable jurisdiction.

If you are a consumer in the European Union, you may also refer a dispute to your local consumer dispute resolution body or the EU consumer dispute resolution bodies list at consumer-redress.ec.europa.eu/dispute-resolution-bodies.

15. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, Acceptable Use Policy, and Data Processing Agreement, constitute the entire agreement between you and Advient regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
  • Waiver: Failure to enforce any provision does not waive our right to enforce it in the future.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Notices: We will send notices to the email associated with your account. Notices to us should be sent to contact@advient.io.
  • Language: These Terms are written in English. If translated, the English version prevails in the event of any conflict.
